Decree No. 102/2026/ND-CP, issued by the Government on March 31, 2026 (effective from May 20, 2026), amends and supplements Decree No. 75/2019/ND-CP regarding administrative penalties in the field of competition. Accordingly, the fines for failing to notify an economic concentration have significantly increased:
- A fine ranging from 500 million VND to 1 billion VND: Applied to each enterprise participating in the economic concentration if its total assets, total sales revenue, or total purchase volume in the Vietnamese market was below 3,000 billion VND in the financial year immediately preceding the year the economic concentration is implemented. However, this fine shall not exceed 5% of the violating enterprise’s total revenue in the relevant market in the financial year immediately preceding the year of the violation.
- A fine ranging from 1 billion VND to 2 billion VND: Applied to each enterprise participating in the economic concentration if its total assets, total sales revenue, or total purchase volume in the Vietnamese market reached 3,000 billion VND or more in the financial year immediately preceding the year the economic concentration is implemented. However, this fine shall not exceed 5% of the violating enterprise’s total revenue in the relevant market in the financial year immediately preceding the year of the violation.
This regulation is based on Article 14 of Decree No. 75/2019/ND-CP, as amended and supplemented by Article 5 of Decree No. 102/2026/ND-CP.
